Terms of Service
These terms govern the provision of FlowMate's AI automation services. They apply to every engagement unless a signed agreement says otherwise.
1. Acceptance
By signing a FlowMate proposal, paying a deposit invoice, or otherwise instructing us to begin work, you accept these terms together with any project-specific Statement of Work.
2. Services
We deliver AI automation services — discovery, build, deployment, and managed operation — as scoped in each Statement of Work. Each Statement of Work specifies the fixed price, deliverables, success metrics, and timeline.
3. Fees and payment
Fees are invoiced in EUR, net 14 days unless agreed otherwise.
Pilots: 50% deposit on signature, 50% on delivery. Audits and implementation sprints: invoiced per the Statement of Work. Retainers: invoiced monthly in advance.
Late payments accrue interest at the Bulgarian National Bank base rate plus 10%, in line with Bulgarian commercial practice.
4. Intellectual property
Client owns all custom code, prompts, workflows, and configuration produced under the engagement.
FlowMate retains its methodology, internal templates, and pre-existing components. You receive a non-exclusive, perpetual, royalty-free licence to use any FlowMate-pre-existing components embedded in the deliverables.
5. Confidentiality
Both parties keep each other's non-public information confidential and use it only to perform the engagement. The obligation survives termination for five years.
6. Warranties and disclaimers
We warrant we will perform the services with the skill and care reasonably expected of a competent AI engineering firm.
AI outputs can be wrong. Each engagement defines human-in-the-loop checkpoints for irreversible actions. Beyond the warranty above, we make no other warranty, express or implied, in respect of AI outputs.
7. Limitation of liability
Neither party is liable for indirect or consequential loss.
Each party's total liability for any cause is capped at the fees paid (or payable) by the client to FlowMate in the 12 months preceding the cause of action. Liability for death, personal injury, fraud, or matters that cannot be limited under Bulgarian law is not capped.
8. Termination
Either party may terminate for material breach not cured within 14 days of written notice.
Pilots include a day-14 kill-or-scale gate: if the pre-agreed success metric is missed, the deposit is refunded in full and the engagement ends.
Retainers terminate at the end of any month with 30 days' notice.
9. Governing law
These terms are governed by Bulgarian law. Disputes are resolved by arbitration in Sofia under the rules of the Bulgarian Chamber of Commerce and Industry, in English.
10. Changes
We may update these terms. Material changes are notified by email to active clients at least 30 days before they take effect.
